1. Acceptance of Terms

By accessing or using the AI Credits website ("Site") and services, you ("User") agree to comply with these Terms and Conditions. If you do not agree, you must not use the Site.

2. Nature of Services

AI Credits operates as a brokerage and intermediary service that connects buyers and sellers of unused AI and cloud credits. AI Credits is not a marketplace, exchange, or platform where transactions are executed.

Specifically, AI Credits:

• Displays listings of available credits (supply) and credit requests (demand) on the Site for informational purposes
• Matches potential buyers with verified sellers based on their requirements
• Verifies the legitimacy and balance of credits before facilitating introductions
• Facilitates communication and due diligence between parties
• Assists with structuring deals, including escrow arrangements and documentation

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts. Where you act on behalf of an entity, you represent that you are authorised to bind that entity to these Terms.

4. User Obligations

When using the Site and our services, you agree to:

• Provide accurate, current and complete information during onboarding and verification
• Only list credits that you lawfully own and are permitted to transfer
• Comply with the terms of service of the underlying credit provider
• Not use the Site for any unlawful, fraudulent or misleading purpose
• Maintain the confidentiality of any credentials shared with you during a transaction

5. Verification and Due Diligence

AI Credits performs reasonable verification of listed credits, including balance checks and ownership auditing. Verification is a good-faith effort and does not constitute a warranty as to the underlying provider's future conduct.

Buyers are encouraged to perform their own due diligence, including reviewing screenshots and, where offered, using read-only access to run test calls before payment.

6. Escrow and Payment

Payments are made against an invoice issued after both parties agree on terms. Funds are held in escrow and released to the seller only after the buyer confirms that access has been successfully transferred.

Fees, if any, are disclosed to both parties before the transaction is finalised.

7. Refunds and Replacement

If transferred access becomes unavailable within the stated validity period through no fault of the buyer, AI Credits will, following verification, arrange a replacement or refund of the unused balance. See our Refund Policy for the full procedure.

8. Confidentiality

Identities of buyers and sellers are not disclosed to third parties without consent. Mutual non-disclosure agreements are available on request for any transaction.

9. Limitation of Liability

To the maximum extent permitted by law, AI Credits is not liable for indirect, incidental or consequential damages arising from your use of the Site or from any transaction between a buyer and a seller. Our aggregate liability in connection with any transaction is limited to the fees we received in respect of that transaction.

10. Third-Party Providers

AI Credits is independent and is not affiliated with, endorsed by, or sponsored by OpenAI, Anthropic, Google, Amazon Web Services, Microsoft, or any other credit provider. Provider names are used for identification purposes only.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected in the 'last updated' date at the top of this page. Continued use of the Site after changes take effect constitutes acceptance.
